PIRELLI: Shareholders’ Agreements Update

Milan, 7 November 2025 – In compliance with article 128 and the Regolamento Emittenti (Issuers Regulation), approved by Consob with resolution 11971/99 (“RE”), it is announced that the shareholders’ agreement concerning Pirelli, signed on 28 February 2023, will not be renewed.

The agreement was between Camfin S.p.A., Marco Tronchetti Provera & C. (formerly Brembo S.p.A.) (“Brembo”), and Next Investment (“NI”). Along with NFB and Brembo, these form the “B Party,” holding 0.42% of Pirelli’s share capital through NI.

The B Party has notified its intention not to renew the agreement, which will terminate and cease to be effective from 28 February 2026.
